COMPREHENSIVE MEMBERSHIP AGREEMENT

This Membership Agreement, hereinafter referred to as the “Agreement,” is entered into and made effective as of the date of acceptance by and between:

Free Market Automotives, a private membership based online automotive marketplace (the “Organization”), and

The individual registering for and accepting membership (the “Member”).

Organization and Member may each be referred to individually as a “Party” and collectively as the “Parties.”

By accessing, registering for, or using any portion of the Free Market Automotives platform (the “Platform”), Member agrees to be legally bound by this Agreement.

ARTICLE 1 – PURPOSE AND NATURE OF THE PLATFORM

1.1 Private Marketplace
The Organization operates a private, members only, peer to peer marketplace for lawful private party listings involving automobiles, boats, recreational vehicles, and heavy equipment.

1.2 No Brokerage Role
The Organization is not:
	•	A vehicle dealer
	•	A broker
	•	An agent
	•	An escrow service
	•	A lender
	•	A payment processor
	•	A title company

The Platform provides listing tools and communication systems only.

1.3 No Transaction Participation
All transactions occur solely between Members. The Organization does not participate in, supervise, guarantee, or insure any transaction.

ARTICLE 2 – MEMBERSHIP ELIGIBILITY AND APPROVAL

2.1 Age and Legal Capacity
Member must be at least 18 years of age and legally capable of entering binding contracts.

2.2 Private Party Requirement
Membership is strictly limited to private individuals. Dealers, resellers, brokers, wholesalers, fleet operators, or commercial sellers are prohibited.  Companies that own and can prove actual useful service purpose of multiple listings to sell may become a member in the companies' name providing the titles are in the companies' name. For example a construction company has multiple items to list.

2.3 Title Ownership Requirement
Any listed vehicle must be titled in the Member’s personal name. Vehicles titled to a business entity are prohibited.

2.4 Verification
The Organization reserves the right to:
	•	Require identity verification
	•	Require proof of title
	•	Request additional documentation
	•	Deny or revoke membership at its sole discretion

2.5 No Guaranteed Acceptance
Membership approval is not guaranteed and may be denied without explanation.

ARTICLE 3 – FEES AND PAYMENTS

3.1 Membership Fee
Membership requires a one time non refundable fee of $30.00 USD.

This fee grants lifetime access subject to compliance with this Agreement.

3.2 Listing Fees
Separate listing fees apply and are displayed prior to submission.

Listing fees:
	•	Are non refundable
	•	Do not guarantee approval
	•	Do not guarantee visibility
	•	Do not guarantee sale

3.3 Payment Processing
Payments are processed through third party payment processors. The Organization does not store full payment card details.

3.4 Chargebacks
Member agrees not to initiate fraudulent chargebacks. Fraudulent disputes may result in:
	•	Immediate termination
	•	Collections
	•	Legal action

ARTICLE 4 – LISTINGS AND CONTENT STANDARDS

4.1 Accuracy
Member represents and warrants that all listing information is:
	•	Accurate
	•	Truthful
	•	Complete
	•	Not misleading

4.2 Disclosure
Member must disclose:
	•	Known defects
	•	Title status
	•	Accident history
	•	Modifications
	•	Liens

4.3 Administrative Approval
All listings are subject to review and approval prior to publication.

4.4 Removal
The Organization may remove any listing at any time without notice.

4.5 Sale Obligation
Member must mark a listing as sold within three days of sale.

4.6 Edits
Edits to approved listings may require re approval.

ARTICLE 5 – MEMBER CONDUCT

Member agrees not to:
	•	Post fraudulent listings
	•	Misrepresent ownership
	•	Circumvent listing limits
	•	Use automated bots or scrapers
	•	Reverse engineer the platform
	•	Harvest data
	•	Copy or redistribute listings
	•	Introduce malware
	•	Harass other Members
	•	Engage in unlawful conduct

Violation may result in permanent termination without refund.

ARTICLE 6 – INTELLECTUAL PROPERTY

6.1 Ownership
All software, content, design, structure, branding, and architecture of the Platform are the exclusive property of the Organization.

6.2 Limited License
Member is granted a limited, revocable, non transferable license for personal use only.

6.3 Anti Scraping
Use of automated systems, scraping tools, bots, or data extraction tools is strictly prohibited.

6.4 No Reproduction
Member may not copy, reproduce, republish, sell, or distribute any Platform content without written permission.

ARTICLE 7 – DISCLAIMER OF WARRANTIES

The Platform is provided “as is” and “as available.”

The Organization makes no warranties regarding:
	•	Accuracy of listings
	•	Reliability of Members
	•	Quality of vehicles
	•	Legal compliance of transactions
	•	Success of sales

All warranties, express or implied, are disclaimed to the fullest extent permitted by law.

ARTICLE 8 – ASSUMPTION OF RISK

Member acknowledges that private party vehicle transactions carry inherent risks, including:
	•	Fraud
	•	Mechanical defects
	•	Title issues
	•	Payment disputes
	•	Personal injury during inspections

Member assumes full responsibility for any transaction entered into through the Platform.

ARTICLE 9 – LIMITATION OF LIABILITY

To the maximum extent permitted by law:

The Organization shall not be liable for:
	•	Indirect damages
	•	Consequential damages
	•	Lost profits
	•	Personal injury
	•	Property damage
	•	Fraud by other Members

Total liability shall not exceed the total amount paid by Member to Organization.

ARTICLE 10 – INDEMNIFICATION

Member agrees to indemnify, defend, and hold harmless the Organization and its owners, affiliates, employees, and agents from any claims, damages, losses, liabilities, costs, and attorney fees arising out of:
	•	Member’s listings
	•	Member’s misrepresentations
	•	Member’s violation of this Agreement
	•	Member’s transactions
	•	Member’s unlawful conduct

This obligation survives termination.

ARTICLE 11 – TERMINATION

The Organization may terminate or suspend membership at any time for:
	•	Breach of this Agreement
	•	Fraud
	•	Abuse
	•	Conduct harmful to the Platform

No refunds will be issued upon termination.

ARTICLE 12 – DISPUTE RESOLUTION

All disputes shall be resolved through binding individual arbitration.

Member waives:
	•	Jury trial
	•	Class actions
	•	Collective actions

Arbitration shall occur in the jurisdiction where the Organization is registered.

ARTICLE 13 – GOVERNING LAW

This Agreement shall be governed by the laws of the State in which the Organization is registered.

ARTICLE 14 – PRIVACY AND DATA

The Organization collects limited personal data necessary for account and listing management.

The Organization does not sell Member data.

Member acknowledges that no online system is immune from breach.

ARTICLE 15 – FORCE MAJEURE

The Organization shall not be liable for failure to perform due to events beyond its control, including but not limited to:
	•	Natural disasters
	•	Government action
	•	Power outages
	•	Cyber attacks

If any provision is held unenforceable, the remainder shall remain in effect.

ARTICLE 17 – ENTIRE AGREEMENT

This Agreement constitutes the entire understanding between the Parties.

By creating an account, paying the membership fee, or using the Platform, Member confirms that they:

This Vehicle Listing Agreement applies when a seller submits a vehicle to Free Market Automotives for possible listing on the Free Market Automotives website.

By submitting a vehicle, the seller agrees to this Vehicle Listing Agreement, the Terms of Service, and the Privacy Policy.

1. Platform Role

Free Market Automotives is a private-party vehicle listing platform.

Unless expressly agreed in writing, Free Market Automotives is not the seller, buyer, dealer, broker, auctioneer, escrow company, payment processor, inspector, mechanic, transporter, title agency, or financing provider.

Free Market Automotives provides a platform for sellers to list vehicles and for interested buyers to review listings and communicate about vehicles.

2. Seller Authority

The seller represents that:

The seller is the legal owner of the vehicle or has full legal authority from the owner to list and sell the vehicle
The vehicle is not stolen
The VIN has not been altered, removed, replaced, or misrepresented
The seller has the right to provide all photos, videos, descriptions, documents, and information submitted
The seller has the right to enter into this Listing Agreement

If the vehicle is owned by more than one person, the seller is responsible for obtaining approval from all required owners before submitting the listing.

3. Required Vehicle Information

The seller agrees to provide accurate information, which may include:

Year, make, model, and trim
VIN
Mileage
Location
Title status
Registration status
Lien or payoff status
Ownership history
Known accident history
Known damage
Known mechanical issues
Known electrical issues
Known cosmetic issues
Known rust or structural issues
Modifications
Service history
Photos and videos
Asking price, reserve, or preferred sale format if applicable
Any other information reasonably requested by Free Market Automotives

4. Accuracy and Disclosure

The seller agrees that all submitted information must be truthful, accurate, complete, and not misleading to the best of the seller’s knowledge.

The seller must disclose known material issues, including but not limited to:

Salvage, rebuilt, lemon, flood, junk, branded, or otherwise affected title
Odometer rollback, odometer replacement, mileage inconsistency, or true mileage unknown
Major accident history
Frame or structural damage
Flood or fire damage
Engine, transmission, drivetrain, brake, suspension, electrical, or safety issues
Airbag deployment or unrepaired safety systems
Lien, loan, payoff, or ownership complications
Emissions or registration issues
Non-original VIN plates, missing VIN tags, or title/VIN mismatch
Prior theft recovery
Known defects that would affect value, safety, legality, or buyer decision-making

5. Listing Review

Free Market Automotives may review a submitted vehicle before publication.

Free Market Automotives may approve, reject, edit, format, pause, remove, or request changes to any listing at its discretion.

Listing approval does not mean Free Market Automotives guarantees the vehicle, verifies every detail, confirms condition, confirms title status, or endorses the seller.

6. Photos, Videos, and Listing Content

The seller grants Free Market Automotives permission to use, edit, crop, format, publish, display, store, promote, and distribute submitted photos, videos, descriptions, and vehicle information for purposes related to the listing, platform operation, marketing of the listing, fraud prevention, recordkeeping, and business communication.

The seller represents that submitted photos, videos, and descriptions are owned by the seller or that the seller has permission to use them.

The seller must not submit copyrighted, stolen, misleading, edited, deceptive, or unrelated media.

7. No AI or Invasive Tracking

Free Market Automotives does not use artificial intelligence to secretly price vehicles, create hidden seller scores, manipulate buyer interest, or profile users across the internet.

Free Market Automotives does not use invasive third-party advertising trackers or third-party retargeting pixels.

The platform may use basic website tools needed for login, security, preferences, spam prevention, listing management, and website function.

8. Fees

If a listing fee, success fee, promotional fee, or other fee applies, the fee amount and timing will be stated on the website or agreed to separately.

Unless clearly stated otherwise, listing fees are paid for listing review, preparation, publication, or platform access and are not a guarantee of sale.

Fees may be non-refundable once listing review, preparation, or publication begins.

9. Seller Responsibility for Sale

The seller is responsible for the actual sale of the vehicle, including:

Communicating with buyers
Answering buyer questions honestly
Arranging inspections or test drives if desired
Confirming buyer funds
Completing title transfer
Completing bill of sale
Handling release of liability
Handling taxes, registration, smog, emissions, or state-specific requirements
Paying off any lien if applicable
Delivering or releasing the vehicle only when safe and appropriate
Complying with all applicable laws

Free Market Automotives does not guarantee buyer payment, title transfer, pickup, delivery, registration, or completion of the transaction.

10. Reserve, Asking Price, and Offers

The seller is responsible for setting any asking price, reserve price, or acceptable sale terms unless otherwise agreed in writing.

Free Market Automotives may provide general feedback, but such feedback is not a formal appraisal, guaranteed value, or guaranteed sale price.

The seller may accept, reject, or negotiate offers unless the seller has agreed to specific binding sale terms in writing.

11. No Guaranteed Sale

Free Market Automotives does not guarantee that a vehicle will be approved, listed, viewed, receive offers, meet reserve, sell, or sell for a specific price.

Market interest depends on many factors, including vehicle condition, price, photos, demand, location, title status, mileage, seller responsiveness, and buyer interest.

12. Listing Changes and Removal

The seller must promptly notify Free Market Automotives if:

The vehicle sells
The vehicle is no longer available
The price changes
The mileage changes materially
The condition changes
New damage occurs
A title or lien issue is discovered
Any listing information becomes inaccurate

Free Market Automotives may remove or update a listing if information appears inaccurate, outdated, suspicious, incomplete, or in violation of platform rules.

13. Prohibited Listings

The seller may not submit:

Stolen vehicles
Vehicles with altered VINs
Vehicles the seller has no authority to sell
Fake listings
Vehicles with intentionally hidden title issues
Listings with false mileage
Listings using stolen photos
Listings with misleading descriptions
Listings designed to scam, bait, or defraud buyers
Listings that violate law or platform rules

14. Indemnification

The seller agrees to be responsible for claims, disputes, losses, costs, damages, or legal issues arising from the seller’s vehicle, listing, statements, omissions, documents, ownership status, title status, sale, or violation of this Agreement.

This includes claims from buyers, owners, lienholders, government agencies, or other third parties related to inaccurate information, undisclosed issues, lack of authority, title problems, fraud, or transaction disputes.

15. Limitation of Liability

To the fullest extent permitted by law, Free Market Automotives is not responsible for lost sale opportunities, failed transactions, buyer conduct, seller conduct, vehicle condition, title issues, payment issues, inaccurate seller information, listing errors, delayed communication, removed listings, or disputes between users.

16. Relationship of the Parties

This Agreement does not create a partnership, employment relationship, agency relationship, dealership relationship, brokerage relationship, or fiduciary relationship between the seller and Free Market Automotives.

The seller remains responsible for the vehicle and the sale.

17. Privacy

Information submitted through the listing process is handled according to the Free Market Automotives Privacy Policy.

18. Agreement Updates

Free Market Automotives may update this Vehicle Listing Agreement from time to time. Updated terms will apply to future submissions and continued use of the platform after posting
